Buyer Agency Agreement

Last drafted: August 2026

This Buyer Agency Agreement ("Agreement") is entered into between Buyer's Brief, operated by Niko Paspalaris ("Agent"), and the undersigned client ("Client"), in connection with Agent's assistance in sourcing and negotiating the purchase of a specific motor vehicle.

1. Scope of services

Agent will research vehicle listings, provide pricing and market context, and negotiate with a dealer on Client's behalf for a specific vehicle Client has approved in writing (the "Approved Vehicle"). Agent does not purchase, sell, hold, or take title to any vehicle at any point. Client remains the buyer of record throughout and signs all purchase and financing paperwork directly with the dealer or Client's lender.

2. When this Agreement takes effect

This Agreement, and the fee obligation described below, apply only once Client has approved a specific fee, in writing, for a specific named Approved Vehicle. Research and the initial brief provided before that point are free and create no obligation.

3. Fee

Client agrees to pay Agent the fee set out in Agent's published fee schedule (flat fee by vehicle price for vehicles up to $100,000; a negotiated percentage of purchase price for vehicles over $100,000), as confirmed in writing for the Approved Vehicle before Agent begins negotiating with the dealer.

4. When the fee is due

The fee becomes due immediately upon the closing of Client's purchase of the Approved Vehicle. This obligation applies regardless of how the purchase is finalized — including if Client completes the purchase of the Approved Vehicle directly with the dealer, through a third party, or by any means other than through Agent, after Agent has located the vehicle and/or negotiated terms on Client's behalf. Purchasing the Approved Vehicle through any channel, after Agent's services led to the identification of that vehicle or the terms offered on it, does not relieve Client of the obligation to pay Agent's fee.

5. If Client does not proceed

If Client decides not to move forward with the Approved Vehicle at any point before the purchase closes — including after negotiations have started — no fee is due. This Agreement terminates with no payment obligation in that case.

6. Non-payment

If the fee described above is not paid within 5 business days of the anticipated signing date with the dealership, the unpaid amount is considered past due. Agent reserves the right to pursue collection of past-due amounts, including through applicable small claims proceedings, and to recover reasonable collection costs where permitted by Florida law.

7. No guarantee of savings

Agent aims to create more value through pricing, negotiation, and avoided add-ons than the cost of this service, but does not guarantee any specific savings outcome.

8. Independent relationship

Agent acts as Client's agent for the limited purpose described in this Agreement and is not Client's employee, partner, or general representative for any other purpose. Agent is not a licensed dealer and this is not a dealership.

9. Client responsibilities

Client agrees to provide accurate information about their vehicle search and, if applicable, their trade-in vehicle, and to communicate promptly once Agent begins negotiating on their behalf.

10. Governing law

This Agreement is governed by the laws of the State of Florida.

11. Entire agreement

This Agreement, together with the fee approved in writing for the Approved Vehicle, is the entire agreement between the parties regarding that vehicle. It may only be amended in writing signed by both parties.
